SOLICITOR’S SEPARATE WRITTEN DISCLOSURE
Pursuant to SEC Rule 206(4)-3 of the Investment Advisers Act of 1940
The Securities and Exchange Commission (“SEC”) requires that anyone who is compensated for referring any person to a registered investment advisor must provide
those persons with a written statement disclosing the relationship between the referring party and the investment adviser. The following information is furnished to you
by the referring Broker/Dealer, Investment Advisor or the Firm (“Soliciting Firm”) and its representative (“Solicitor”) identified in the section below titled ‘Solicitor’.
1. Investment Adviser - Goodrich Financial Group, LLC (“Advisor”), 16835 W. Bernardo Dr., Suite 202, San Diego, CA 92127, is properly registered as an investment
adviser with the SEC, state or local regulatory agency under the Investment Advisers Act of 1940 (“Act”).
2. Solicitor – The Soliciting Firm and the Solicitor are properly registered with the SEC or state as either an investment adviser under the Act, or as a broker/dealer
representative under the Securities Exchange Act of 1934, and each is properly registered in the state in which it does business, as applicable, or is otherwise qualified
to be a solicitor as defined under Rule 204(4)-3 of the Act. The Broker/Dealer, Account Executive, or Investment Adviser named below (“Solicitor”) proposes to
introduce you to Goodrich Financial Group, LLC for the purpose of becoming a client of that firm.
3. Relationship Between Investment Adviser and Solicitor – Except for the contractual relationship pursuant to which Solicitor receives a referral fee for introducing
certain clients to the Adviser and rendering certain prescribed services to such clients on the Adviser’s behalf, Solicitor and Adviser are not affiliated.
4. Referral Fee – Adviser and the Soliciting Firm have entered into a written agreement pursuant to which Adviser will compensate the Soliciting Firm for
introducing or referring Clients to Adviser. There is no differential in the advisory fees charged to the Client by Adviser attributable to the agreement between the
Soliciting Firm and Adviser. Accordingly, Advisor will not charge you any additional fees or expense as a result of the referral fees payable to the Soliciting Firm.
In soliciting new business on behalf of Adviser, Soliciting Firms are independent contractors, not agents, representative or employees of Adviser, and neither the
Solicitor nor the firms are fiduciaries of any Client Plan as defined under the Employee Retirement Income Security Act of 1974 (ERISA) or in the Internal Revenue
Code. Accordingly, the Soliciting Firms have no authority to at for or bind the Client Plan or Advisor to this agreement. No Goodrich Financial Group, LLC application
shall become effective unless and until it is accepted by Adviser at its offices in San Diego, California.
With respect to investment management services rendered to the Client, Adviser returns to the Soliciting Firm as a referral fee of 30% of the management fee paid by
the Client to Adviser for as long as the account remains under management. It is understood that the referral fee will be paid from the management fee that is earned,
received, and retained by the Adviser for the Client, and all payments to the Solicitor are based on the Soliciting Firms’ applicable compensation schedule. Adviser’s
obligation to pay such referral fees with respect to the Client’s account is continuous for such time that the Client is a Client or pays fees.
Separately, the Soliciting Firm or affiliated party may also receive additional sales compensation, directly or indirectly, from Financial Plans purchased.

Engagement Letter:
An Engagement Letter will be provided to you either by email or US Mail upon receipt of the minimum deposit or payment in full. The Engagement Letter will
describe the business relationship between you and Goodrich Financial Group, LLC, the scope of services to be provided, information and your responsibility regarding
the plan questionnaire, your payment responsibilities and termination rights by either party. The Engagement Letter is a document which you must read,understand ,
execute and return to Goodrich Financial Group, LLC along with your completed plan questionnaire. Failure to execute the Engagement Letter will result in a return of
your deposit or payment less fees for services rendered.
Pricing, payment terms and Engagement Letter:
The pricing of financial plans offered is determined by the size and scope of the plan and business relationship. You may have been provided a financial plan
promotional price by a third party solicitor, or through Goodrich Financial Group, LLC. Your final purchase price will be confirmed by the Engagement Letter.
You may choose to purchase your plan in one of the two following ways:
- Select your plan and pay a minimum 50% deposit. The completed plan cannot be delivered to you until your balance has been paid in full. You may make
final payment through this web address following the same purchase procedures, or you may mail a check drawn on as U.S. based financial institution payable
to Goodrich Financial Group, LLC and mail to: Goodrich Financial Group, 16835 W. Bernardo Drive, Suite 202, San Diego, CA 92127, OR
- Select your plan and make full payment. Your plan will be delivered to you upon completion by the professional Certified Financial Planner™.
Any outstanding balance, or balance due must be paid within thirty days of the dated Engagement Letter. Goodrich Financial Group, LLC reserves the right to
refund deposits less any and all service fees, collection and/or legal fees within 60 (sixty) days from date of Engagement Letter. Refunds will be made by issued
check from the Goodrich Financial Group, LLC and made payable to buyer and mailed to address on record.
Client Acknowledgment:
I acknowledge receipt of Solicitor’s Terms, Conditions and Disclosure Statement and understand that: (a) The Solicitor and Adviser will enter into a limited
agency agreement relating to the services to be provided to me by the Adviser pursuant to which the Solicitor will be paid a referral fee as described above. (b)
The Solicitor will describe Adviser’s services but will render no investment advice to me and is not a fiduciary, (c) I further acknowledge and understand that I
may receive a current copy of the advisor's ADV Part II through an Internet address provided or I may request a copy be sent to me utilizing the email link
provided, or that I may receive a copy by calling toll free: 866.878.0766. I understand that any Internet link or site address provided to me may be owned and
operated by a third party, and that Goodrich Financial Group, LLC does not have authority or control over third party Internet addresses or links, and cannot
confirm the safety of such. It remains my responsibility to investigate Internet links, sites and addresses before visiting them. I further understand and agree
that I will receive an Engagement Letter as so described above which will provide a total payment price for the plan purchased and provide any additional
payment instructions. I have read and understand all sections of the above Terms, Conditions and Disclosures, and have done so prior to making any purchase.
